By accessing, registering for, purchasing, subscribing to, or otherwise using the Services, you acknowledge that you have read and understood these Terms and agree to be legally bound by them, subject to any mandatory rights and protections available to you under applicable law.
If you do not agree with these Terms, you must not access or use the Services.
1. About us

Your use of the Services constitutes acceptance of these Terms where legally permitted.
Where required or appropriate, we may require you to affirmatively accept these Terms by selecting an "I Agree" or similar button.

We may update these Terms from time to time to reflect changes to our Services, new features, technology, legal requirements, or operational practices.
Where required by applicable law, we will provide advance notice of material changes. The updated Terms will become effective on the date stated in the updated version unless applicable law requires a different effective date.
Your continued use of the Services after the effective date may constitute acceptance of the revised Terms to the extent legally permissible.
5. Description of the Services
We provide the Services described on our website, application, product documentation, or applicable order form.
We may add, modify, remove, or discontinue features, subject to applicable law and any contractual commitments. Where you have purchased a paid service for a defined period, we will comply with applicable contractual commitments and mandatory legal requirements concerning material changes or discontinuation.

7. Account security
You are responsible for taking reasonable precautions to protect your account. We may implement security measures including multi-factor authentication, device verification, rate limits, fraud monitoring, and temporary account restrictions.
No security system can guarantee absolute security. If you believe your account has been compromised, you should immediately contact us.

9. Prohibited technical activities
Unless expressly authorized by us, you must not probe, scan, or test the vulnerability of our systems, circumvent authentication, defeat technical limitations, introduce malicious software, conduct denial-of-service attacks, attempt unauthorized access, interfere with networks or servers, or reverse engineer protected components where prohibited by law.
10. User content
Some Services may allow you to submit, upload, transmit, publish, store, or otherwise provide content ("User Content"). User Content may include text, images, video, audio, documents, reviews, comments, data, software, code, prompts, listings, and other materials.
You retain ownership of your User Content except where you expressly transfer ownership under a separate agreement.
11. License to User Content
To operate the Services, you grant us a non-exclusive, worldwide, limited, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use your User Content as reasonably necessary to provide, maintain, secure, improve, and operate the Services, subject to applicable law and our Privacy Policy.
The scope of this license may vary depending on the specific Service. We will not obtain ownership of your User Content merely because you use our Services.
12. User Content responsibilities
You represent that you own or have sufficient rights to provide your User Content, that it does not unlawfully infringe another person's rights, that you have obtained necessary permissions, and that it does not knowingly contain malicious software or violate applicable law.
13. Content moderation
We may review, restrict, remove, disable access to, or preserve User Content where reasonably necessary to comply with law, protect users, protect the Services, investigate suspected abuse, or enforce these Terms.
14. Intellectual property
The Services and their components may contain intellectual property owned or licensed by us, including software, code, designs, interfaces, graphics, logos, trademarks, product names, documentation, databases, algorithms, and content.
Except as expressly permitted by these Terms or applicable law, you receive no ownership interest in our intellectual property.
15. Limited license
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for their intended purposes. This license terminates when your right to use the applicable Services ends.
16. Feedback
If you voluntarily provide suggestions, ideas, or feedback concerning the Services, you authorize us to use that feedback without restriction or compensation, subject to applicable law.
17. Third-party services
The Services may contain links, integrations, or connections to third-party services. Third-party services may be subject to separate terms and policies. We are not responsible for matters outside our reasonable control concerning independent third-party services.
18. Payments and fees
If a Service requires payment, the applicable price will be presented before purchase where required by law.
You agree to pay applicable fees, taxes, charges, and other amounts expressly disclosed before purchase.
19. Subscriptions
Where a Service is provided on a subscription basis, the subscription period, price, renewal frequency, and cancellation terms will be disclosed at or before purchase. Unless otherwise stated, subscriptions may automatically renew where permitted by applicable law.
Where automatic renewal is used, we will provide required disclosures and notices and provide legally required cancellation rights.
20. Taxes
You are responsible for applicable taxes associated with your purchases except taxes imposed on our income. Taxes may include VAT, GST, sales tax, digital-services taxes, or other transaction taxes.
21. Refunds and cancellations
Refunds, cancellations, withdrawal rights, and statutory remedies are governed by the applicable purchase terms, our Refund Policy, and mandatory consumer-protection law.
Nothing in these Terms is intended to remove a statutory right that cannot legally be excluded.
22. Free trials and promotions
We may offer free trials, promotional pricing, or discount codes. Additional conditions may apply. Where a free trial automatically converts into a paid subscription, the applicable conversion terms will be disclosed before or during enrollment as required by law.
23. Privacy
Our processing of personal information is governed by our Privacy Policy. The Privacy Policy explains what information we collect, why we collect it, how it is used, and what rights you have.
24. Cookies and similar technologies
We may use cookies, SDKs, pixels, local storage, analytics technologies, and similar technologies. The Cookie Policy explains how these technologies are used and how you can manage them.
25. AI features
Where the Services contain artificial-intelligence functionality, AI-generated information may be inaccurate, incomplete, outdated, or unsuitable for a particular purpose. You should evaluate AI-generated output before relying upon it, particularly for legal, medical, financial, safety, or other high-impact decisions.
You must not use AI features for prohibited or unlawful purposes.
26. No professional advice
Unless expressly stated otherwise, the Services do not constitute legal, medical, financial, tax, or other professional advice. You should obtain advice from an appropriately qualified professional when necessary.
27. Availability
We seek to maintain reliable Services but do not guarantee uninterrupted availability except where expressly agreed in a separate service-level agreement. Services may be unavailable due to maintenance, technical failure, security incidents, or third-party issues.
28. Security
We maintain technical and organizational measures designed to protect the Services and information processed through them. However, no online system can be guaranteed to be completely secure.
Users are responsible for maintaining appropriate security on their own devices, networks, accounts, and credentials.
29. Intellectual-property complaints
If you believe content available through the Services infringes your intellectual-property rights, you may contact us at info@maxxholdingsinc.us.
30. Suspension
We may suspend access to some or all of the Services where reasonably necessary to prevent fraud, protect security, investigate abuse, comply with law, or enforce these Terms.
31. Termination
You may stop using the Services at any time. We may terminate or restrict your access where permitted by applicable law if you materially breach these Terms, engage in unlawful conduct, create significant security risks, or fail to comply with other obligations.
Termination does not automatically eliminate obligations that by their nature should survive termination.
32. Effect of termination
Following termination, your access may cease, your account may be disabled, certain User Content may become inaccessible, and outstanding payment obligations may remain due.
33. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an "as is" basis. We do not guarantee that the Services will always be available, error-free, or suitable for every user requirement. Nothing in this section excludes a warranty or statutory right that cannot legally be excluded.
34. Limitation of liability
To the maximum extent permitted by applicable law, we will not be liable for losses that cannot reasonably be attributed to our breach or misconduct. Mandatory consumer rights and statutory remedies remain unaffected.
35. Indemnification
Where legally permissible, you agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, employees, and agents against third-party claims arising from your unlawful use of the Services or your material breach of these Terms.
36. Governing law
These Terms will be governed by the laws of the jurisdiction specified in any applicable regional supplement or contract, subject to mandatory provisions of law.
37. Dispute resolution
Before initiating formal proceedings, the parties may attempt to resolve disputes through good-faith communication. Where appropriate, disputes may be handled through negotiation, mediation, arbitration, or courts with appropriate jurisdiction.
Consumers may retain mandatory rights to bring claims before courts or authorities in their country or place of residence where applicable law provides such rights.
38. Regional and local laws
Because the Services may be available internationally, additional regional terms may apply. Where mandatory local law conflicts with these Terms, the mandatory local law will apply to the extent required.
39. Export controls and sanctions
You must comply with applicable export-control, sanctions, trade, and embargo laws. You must not use the Services in a manner that violates applicable restrictions. We may restrict access where reasonably necessary to comply with legal or regulatory obligations.
40. Force majeure
We will not be responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, government action, cyber incidents, telecommunications failures, or other major disruptions.
41. Assignment
You may not transfer your rights or obligations under these Terms except where permitted by applicable law or with our consent. We may transfer or assign these Terms in connection with a merger, acquisition, or similar business transaction.
42. Severability
If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective to the extent legally permissible.
43. No waiver
Our failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce that provision later.
44. Entire agreement
These Terms, together with applicable policies, order forms, subscription terms, and other expressly incorporated documents, constitute the agreement governing your use of the applicable Services.
45. Electronic communications
You consent to receiving communications electronically where permitted by law, including account notifications, security alerts, transactional messages, and other service communications.
46. Notices
Legal notices should be sent to MaxX Holdings Inc. at info@maxxholdingsinc.us.
47. Accessibility
We seek to make the Services accessible to users with disabilities and will comply with applicable accessibility requirements. If you experience an accessibility issue, contact info@maxxholdingsinc.us.
48. Language
Where the Services are offered in multiple languages, translated versions may be provided for convenience. Where legally permissible, the English version will control in the event of a conflict.
49. Children's use
The Services are not intended for children below the minimum age permitted by applicable law unless expressly stated otherwise.
